  1. CyberPuppy Software, Inc. License Agreement
  2.  
  3. CAREFULLY READ THE TERMS AND CONDITIONS OF THIS AGREEMENT.  BY USING
  4. THE SOFTWARE, YOU ARE CONSENTING TO BE BOUND BY AND ARE
  5. BECOMING A PARTY TO THIS AGREEMENT.  IF YOU DO NOT AGREE TO ALL OF THE
  6. TERMS OF THIS AGREEMENT, DO NOT USE THE SOFTWARE.

  8. 1. CyberPuppy Software, Inc. ("CyberPuppy") grants to you a limited,
  9. non-exclusive, non-sublicensable, non-transferable license to use this
  10. version of the Monstrous Media Kit application (the "Software"), in
  11. binary executable form for private purposes only.
  12.  
  13. 2. CYBERPUPPY MAKES NO REPRESENTATIONS ABOUT THE SUITABILITY OF THIS
  14. SOFTWARE OR ABOUT ANY CONTENT OR INFORMATION MADE ACCESSIBLE BY THE
  15. SOFTWARE, FOR ANY PURPOSE.  THE SOFTWARE IS PROVIDED 'AS IS' WITHOUT
  16. EXPRESS OR IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY
  17. AND FITNESS FOR A PARTICULAR PURPOSE OR NONINFRINGEMENT.

  19. 3. All content accessed through the Software is the property of the
  20. applicable content owner and may be protected by applicable copyright
  21. law.  This License gives you no rights to such content.
  22.  
  23. 4. THE SOFTWARE IS PROVIDED WITHOUT CHARGE.  ACCORDINGLY, CYBERPUPPY SHALL
  24. NOT BE LIABLE FOR ANY DAMAGES AT ALL, INCLUDING, BUT NOT LIMITED TO,
  25. CONSEQUENTIAL, INCIDENTAL, EXEMPLARY, PUNITIVE, OR ANY OTHER DAMAGES UNDER
  26. ANY CONTRACT, TORT, OR OTHER THEORY ARISING OUT OF OR RELATING TO THE USE
  27. OF THE SOFTWARE OR THIS AGREEMENT.

  29. 5. CyberPuppy distributes a commercial release of the Software on CD-ROM 
  30. and reserves the right at any time to alter prices, features, 
  31. specifications, capabilities, functions, licensing terms, release dates, 
  32. general availability or other characteristics of the commercial release.
  33.  
  34. 6. Title, ownership rights, and intellectual property rights in and to
  35. the Software shall remain in CyberPuppy and/or its suppliers.  You agree
  36. to abide by the copyright law and all other applicable laws of the
  37. United States including, but not limited to, export control laws.  You
  38. acknowledge that the Software in source code form remains a
  39. confidential trade secret of CyberPuppy and therefore you agree not to 
  40. modify the Software or attempt to decipher, decompile, disassemble, 
  41. reverse engineer or otherwise attempt to derive source code from the 
  42. Software, except to the extent applicable laws specifically prohibit 
  43. such restriction.

  45. 7. CyberPuppy may terminate this License at any time by delivering notice to
  46. you and you may terminate this License at any time by destroying or erasing
  47. your copy of the Software. In the event of termination, the following 
  48. sections of this License will survive: 2, 3, 4, 5, 6, 7, 8, 9 and 10.  
  49. This License is personal to you and you agree not to assign your rights
  50. herein.  This License shall be governed by and construed in accordance
  51. with the laws of the State of California and, as to matters affecting
  52. copyrights, trademarks and patents, by U.S. federal law.  This License
  53. sets forth the entire agreement between you and CyberPuppy.

  55. 8. U.S. GOVERNMENT RESTRICTED RIGHTS.  The software and documentation are
  56. provided with RESTRICTED RIGHTS.  Use, duplication or disclosure by the
  57. U.S. Government is subject to restrictions as set forth in subparagraph (c)
  58. (1) (ii) of the Rights in Technical Data and Computer Software clause at
  59. DFAR 252.227-7013, Rights and Technical Data in Computer Software (October
  60. 1988); in subparagraphs (c) (1) and (2) of FAR 52.227-19, Commercial
  61. Computer Software - Restricted Rights (June 1987), or FAR 52.227-14, Rights
  62. in General Data Alternative III (June 1987), as applicable. [CyberPuppy
  63. reserves all rights under applicable international laws regarding use of

  67. 9. You may not download or otherwise export or reexport the Software or
  68. any underlying information or technology except in full compliance with
  69. all United States and other applicable laws and regulations.  In
  70. particular, but without limitation, none of the Software or underlying
  71. information or technology may be downloaded or otherwise exported or
  72. reexported (i) into (or to a national or resident of) Cuba, Haiti,
  73. Iraq, Libya, North Korea, Iran, or Syria or (ii) to anyone on the US 
  74. Treasury Department's list of Specially Designated Nationals or the US 
  75. Commerce Department's Table of Deny Orders.  By downloading the Software, 
  76. you are agreeing to the foregoing and you are representing and warranting 
  77. that you are not located in, under control of, or a national or resident 
  78. of any such country or on any such list.

  80. 10. This agreement shall be governed by the laws of the State of California
  81. as applied to contracts entered into and performed entirely within
  82. California by residents of that state.  Each party to this agreement
  83. submits to the exclusive jurisdiction of the state and federal courts
  84. located in California, USA.
